Master Services Agreement

Between OplyAI LLC ("OplyAI") and the client named in the Order Form ("Client").

1. Services. AI voice receptionist, booking, and message-taking as described in the Order Form (Starter $349/mo, setup fee $500, included minutes and overage rate as stated).

2. Term. Month-to-month unless the Order Form says otherwise. Either party may cancel at any time; Client cancels by emailing hello@oplyai.com. Cancellation takes effect at the end of the current billing cycle. No refunds on any fees, including setup fees, monthly fees, and partial months.

3. Fees. Billed in advance via Stripe. Overage minutes billed monthly in arrears. Late accounts may be suspended after 10 days' notice.

4. Client responsibilities. Accurate business info, hours, and pricing; keeping calendar/email connections active; lawful use; any required notices to its customers; no use for emergency services, medical/legal advice, or regulated (HIPAA) data unless a separate BAA is signed.

5. AI limitations. The service uses automated AI that can mishear, misbook, or give incomplete answers. Client should review bookings and messages. OplyAI does not guarantee any number of leads, bookings, or revenue.

6. Recording & consent. Calls may be recorded and transcribed; the agent greeting announces this. Client will not instruct OplyAI to remove the notice.

7. Data. Client owns its customer data. OplyAI processes it under the DPA (Exhibit A) and uses the subprocessors listed at oplyai.com/subprocessors.

8. Availability. Commercially reasonable efforts; target 99.5% monthly; failover to backup answering or forwarding to Client's phone per runbook. No credits unless stated in the Order Form.

9. Limitation of liability. Except for fraud or willful misconduct, each party's total liability is capped at fees paid in the 3 months before the claim; no indirect, lost-profit, or consequential damages.

10. Indemnity. Client indemnifies OplyAI for claims arising from Client's content, instructions, or unlawful use; OplyAI indemnifies Client for third-party IP claims about the platform.

11. Confidentiality; termination & data export within 30 days; governing law: Oklahoma; disputes: good-faith negotiation, then small claims or binding arbitration in Payne County, OK. Recording notices follow the stricter of the client office state and the caller's state.
